Company Secretary - Guernsey

With continued growth across the NSM Group, we are always on the lookout for bright individuals to join the team and we are looking for a Company Secretary to join our Funds Company, NSM Funds Limited, where we provide bespoke fund administration services to an array of sectors and fund structures, across multiple jurisdictions.

The purpose of this position is to provide company secretarial services to a designated number of fund clients, including listed entities, ensuring best practice delivery of corporate governance and company secretarial principles, actively managing deadlines and timescales to ensure successful service delivery.

Key Responsibilities

  • To convene, attend and take minutes at board meetings, recording discussions and decisions, drafting accurate minutes and action points and ensuring delivery within agreed service level timeframes.
  • Preparation of agendas and board packs and their timely circulation and dispatch to client boards and advisers as applicable.
  • Draft other company materials including announcements and statutory filings as required.
  • Make stock exchange announcements and filings and ensure that all continuing obligation requirements of designated listed clients are met.
  • Prepare agendas, notices, proxies and other supporting documents for General Meetings, including liaison with relevant legal advisors.
  • Draft governance sections of annual and semi-annual reports in conjunction with fund accountants and advisors.
  • Review and comment on corporate documentation as required by clients and in conjunction with other advisors.
  • Ensure that statutory filings (or other similar jurisdictional requirements) and payment of relevant fees are completed within statutory time frames.
  • Receive, monitor, and keep up to date with constitutional, regulatory and listing requirements, keeping up to date with changes, ensuring the team take appropriate action as required.
  • Ensure that statutory databases are kept up to date and corporate documents are scanned and indexed accurately in the Document Management System.
  • To take an active role in maintaining the Meeting Planner and Company Secretarial calendar as well as maintaining your own diary of outstanding client related items and ensuring outstanding items are co-ordinated appropriately.
  • To assist in co-ordinating Company Secretarial aspects of fund launches.
  • Assist with the production and reviewing of policies and procedures and checklists.
  • To ensure adherence to good corporate governance principles concerning all Company Secretarial matters.
  • Develop and maintain strong, long-lasting relationships with clients and external parties, proactively manage client expectations and turnaround times.

Skills, knowledge, expertise

  • Computer literacy skills are essential.
  • Very good interpersonal skills are required to develop close working relationships with colleagues, clients and business contacts.
  • Very good local regulatory knowledge including sound knowledge of London listed rules and applicable corporate governance codes and the provisions of the Market Abuse Regulations
  • 2+ years of relevant financial services experience, qualified or studying towards a relevant professional qualification (preferably having commenced ICSA/STEP or equivalent qualification), ambition and enthusiasm.
  • You are required to have the requisite Guernsey residential certificate/permit to apply for this role.
